1. Who we are, and what these terms cover
Lazuro Learning is a sole trader business run by Jared Fraser in Sydney, Australia (ABN 84 970 894 650). "We", "us" and "our" mean Lazuro Learning. "You" means the person or organisation using the website or a Lazuro Tools account.
These terms cover this website (lazurolearning.com), the builders under Tools, Lazuro Tools accounts and plans, and the practice conversations you make with them. Custom projects and training days are covered by a written proposal or agreement, and section 13 says how these terms relate to that. The privacy policy is part of these terms.
By using the website or a builder, or by creating an account, you agree to these terms. If you are using them for an organisation, you confirm you are allowed to agree on its behalf.
2. Using the builders free
Every builder can be used without an account. Your drafts stay in your browser, exports are files you keep, and free tries of AI features come out of a daily allowance shared by everyone on your connection. We can change what the free tier includes, but we won't take away a file you've already exported.
Free exports may carry a short Lazuro line (for example, "Packaged free with Casing"). Removing or altering it is a plan feature, not something to edit out.
3. Your Lazuro Tools account
An account is your email address. Signing in sends a link to it; there is no password. Keep your inbox secure, because anyone who can read that email can sign in as you. Tell us straight away if you think your account has been used by someone else.
You must give a working email address and be at least 18, or using the account under an organisation's supervision. One account is for one person; an organisation that needs several people on one plan should talk to us about a custom plan.
4. The Lazuro Tools plan
The plan is one subscription, monthly or yearly, that applies across every builder. What it includes is listed on the Tools page at the time you subscribe; in summary, it lets you save and embed practice conversations, switches on the writing assistant, takes the free line off exports and stamps them to your account.
We add builders and features to the plan over time without charging more for the period you've paid for. If we ever need to remove something material from the plan, we'll give at least 30 days' notice by email, and you can cancel before it takes effect.
5. Allowances and fair use
Some features cost us money every time they run, so the plan carries allowances. The current figures are on the Tools page and in your account; as at this version they are up to three saved conversations, 100 learner rehearsals a month shared across them, and a fair-use allowance for the assistant, the character's voice and speech input.
Monthly allowances reset on the first of each month and don't carry over. When an allowance is used up, the feature pauses politely until it resets or you move to a custom plan; nothing you've made is lost. We may slow or pause an account whose use looks automated or far outside normal use, and we'll tell you if we do.
6. Paying, cancelling and refunds
Prices are in Australian dollars. GST is added at checkout where it applies. Payment is taken by Stripe; we never see or store your card details. Your plan renews automatically at the end of each period until you cancel.
Cancelling. You can cancel at any time from Manage billing on your account page. Your plan keeps working until the end of the period you've paid for, plus three days' grace, and then your embed links show that the activity isn't available. Your conversations stay in your account, and the links come back if you subscribe again.
Refunds. If you cancel a monthly plan, there is no refund for the rest of the month. If you cancel a yearly plan within 14 days of paying, we refund it in full; after that, we refund the unused whole months less the monthly rate for the months you've had. If a fault on our side stops you using the plan for more than three days in a row, we'll extend your plan by that time or refund it pro rata, whichever you prefer. None of this limits your rights under the Australian Consumer Law (section 12).
Price changes. We'll email at least 30 days before a price rise. It applies from your next renewal after that, and you can cancel before it does.
Invoices. Organisations can pay by invoice on a custom plan. Invoiced plans are due within 14 days unless the invoice says otherwise.
7. Your content and ours
Yours. What you write in a builder, the files you export and the conversations you save are yours. We claim no ownership of them. You give us only the permission we need to run the service: to store your saved conversations, to send scenario text to the AI provider so the character can reply, and to show an embedded conversation to the learners you share it with.
Ours. The builders, the engines inside exported files, the site, the example scenarios and the Lazuro name and marks are ours. Your export is licensed to you to use, share and embed for learning, including commercially inside your organisation or for your clients. You may not sell or redistribute a builder, the engine as a product, or an export stripped of its licence stamp, or use them to make a competing tool.
You're responsible for what you put in: don't include content you don't have the right to use, or personal information about real people beyond what a scenario reasonably needs.
8. Practice conversations and the people who use them
When you embed a conversation, the people who use it are your learners, not our customers. You're responsible for how it's offered to them: telling them it's practice with an AI character, offering an alternative for anyone who would rather not, and not using a score to decide anyone's job, pay or grade. The debrief is formative feedback, not an assessment instrument.
Transcripts of learners' rehearsals are stored on the practice platform in Sydney and de-identified after 30 days, as the privacy policy describes. Your account sees how many rehearsals have been used, never what anyone said. If your organisation needs named reporting, that's a custom plan and learners are told before they start.
If a learner says something in a rehearsal that suggests real distress, the character steps out of the roleplay and points them to support. That is a safeguard, not a monitoring service; we can't and don't watch conversations in real time.
9. Acceptable use
Don't use the builders or the site to: make content that is unlawful, defamatory, discriminatory or designed to harass; impersonate a real person in a scenario in a way that could harm them; attempt to extract the AI's instructions or make it act as a different system; probe, overload or interfere with the service; or share a sign-in link, embed link or workshop code beyond the people it was meant for.
We can suspend or close an account that breaches these terms. Where we can, we'll warn you first and give you a chance to put it right; for serious breaches we may act straight away. Nothing here stops you from saying critical things about us.
10. What the AI is, and isn't
The character's replies, the writing assistant's suggestions and the debrief are generated by a language model. They can be wrong, uneven or oddly phrased. The assistant proposes; you decide, and every proposal can be discarded or undone. Read what it drafts before learners see it.
The debrief scores against the anchors you wrote. Anchors make it far more consistent than a bare rating, but it is still a machine reading a transcript. Use it to start a development conversation, never to end one.
11. Availability and changes
We aim to keep the builders and the platform available around the clock, and we'll tell you about planned maintenance where we can. We don't promise uninterrupted service. The builders depend on third parties for AI, voice, sign-in and payments (listed in the privacy policy), and we can't control their outages.
We change the builders often. Exported files keep working as they were when you made them; saved conversations may need a small update when the platform moves on, and we'll say so in the builder when that happens. We may retire a builder with at least 90 days' notice, during which you can export your work.
12. Liability and your consumer rights
Our services come with guarantees that can't be excluded under the Australian Consumer Law. For major failures with a service you're entitled to cancel and receive a refund for the unused portion, or compensation for its reduced value; for other failures you're entitled to have the problem fixed within a reasonable time. Nothing in these terms limits those rights.
Beyond what the law requires, and to the extent it allows: the free builders and the site are provided as they are; our total liability to you for a plan is limited to what you've paid for it in the 12 months before the claim; and we aren't liable for indirect loss, lost profit, or loss caused by your content, your learners' use, or a third party's outage. Where the law lets us limit liability for a service to supplying it again or paying for it to be supplied again, we do.
13. Custom work and training
A custom module, a custom plan, a training day or SCORM troubleshooting is scoped in a written proposal. Where that proposal or a signed agreement says something different from these terms, the proposal wins for that work. Where it's silent, these terms fill the gap. Intellectual property in custom modules is set out in the proposal; by default, the module is yours on payment, and any Lazuro engine, template or tool used to make it stays ours and is licensed to you for that module.
14. General
These terms are governed by the law of New South Wales, Australia, and the courts there. If part of them can't be enforced, the rest still applies. We may update these terms; the version and dates at the top say when. For a change that affects your plan materially, we'll email you at least 30 days before it applies. Continuing to use the service after that is acceptance.
